  2. Grammatical and other important rules for Construction of Sentences in a Contract: This is one of the very crucial components of contract drafting without which all your efforts to draft a contract may be rendered futile or sometimes even counterproductive. This section of the course is intended to polish your legal writing skill and introduce you to  some of the standard practices used throughout the world for drafting commercial contracts.
  3. Drafting Standard Terms and Conditions of a Contract: In this part of the Course, we introduce you to all the standard clauses which are mostly used in a contract. We have also provided different alternatives for these standard terms, their commercial and legal implications, and to what extent such terms can be enforced before a Court of laws citing examples from the landmark judgments in India and UK.
  4. Drafting of Commercial Contracts. This part of the Course will help you learn how you should go about drafting a particular type of contract. Each chapter in this part provides a checklist for drafting the contract, sample clauses and then explains each clauses by using illustrative examples extracted from the original contracts.

Why You should Subscribe to this Course.

The idea of drafting a contract with a given template or sample agreement readily available on the internet may sound very easy to a fresh law graduate or even a layman trying to draft an agreement without seeking professional advice in order to cut the cost. However, drafting a contract requires pure application of mind, understanding of legal and commercial implications, striking a balance between the interests of the parties and above all, sound knowledge of relevant laws and judgments affecting the enforceability of the clauses. A contract drafted without these considerations is simply a mechanical exercise resulting in a shoddy draft serving no purpose for the parties when the contract is challenged before the Court of law. A mechanical copy-paste job may get you in serious trouble and ruin your career as a corporate lawyer. Therefore, when you draft an agreement, it is very important to be aware of how a judge might interpret the terms of that agreement or how the terms have been interpreted so far through various judgment over a period of time.

Further, participating in rounds of negotiations, customizing the draft to make it more favourable to one’s client, and revising the draft multiple times to suit the needs and demands of all the concerned parties, is what differentiates a perfect draft from those standard templates and sample agreements.

Furthermore, a seemingly standard clause may not always be the standard. There might be deceptive divergent of the standard clauses which can easily skip your attention, if you just follow a template. Therefore, in order to avoid any kind of dispute, a smart lawyer would always draft a contract without any loose ends, i.e. a contract which will not be subject to multiple interpretations or containing conflicting terms.

The present course aims to give you a very comprehensive understanding of standard clauses in a contract and their interpretation. In addition, it also offers you several drafting techniques for these terms which you can use to suit your need and tweak the interpretation.

Online Course on Interpretation of Contracts and Standard Clauses in an Agreement

In this course, you can learn important principles related to interpretation of contracts and various techniques for drafting standard clauses in an agreement. The Course aims to offer a unique blend of theoretical aspects of interpretation and practical aspects of drafting in one package. Here we introduce you with all the standard clauses in an agreement and their divergent forms, along with the legal implications and drafting techniques. The Course is based on practical learning experiences of our contributors working at some of the reputed law firms in India.

The course is intended for law students, fresh law graduates, and legal professionals of less than 4 years PQE who are desirous of fine tuning their drafting skills and broadening their understanding of crucial terms in a contract.

About the Course

The idea of drafting a contract with a given template based on a bare term sheet may sound very easy to any fresh law graduate or even a lay man. It actually is, as long as there is hardly any application of mind and it is done in a mechanical manner. There are several invisible ingredients which go into the raw term sheet or a basic template before the final recipe is ready to be served to the client. Some of the obvious ingredients are, your knowledge and understanding of the subject and business practices prevalent in a particular industry, hard earned experience, and foresight as to how the Court may interpret the same.

As a legal professional the first thing you are expected to do is apply your mind, and that is what makes you a true lawyer. A mechanical copy-paste job will always get you in trouble. Therefore, when you draft an agreement, it is very important to be aware of how a judge would interpret it, if ever, a dispute arises and the agreement hits the court of law. Furthermore, a standard clause couched under the protective cover of ‘Miscellaneous’ at the fag end of the contract, may not always be standard. There may be deceptive divergent of the standard clauses which can easily skip your attention. Therefore, to avoid any kind of dispute, a smart lawyer would always draft a contract without any loose ends, i.e. a contract which may be subject to several interpretations, in particular the one which may prejudice the interest of his/her client.

The present course aims to give you a very comprehensive understanding of standard clauses in a contract and their interpretation. In addition, it also offers you several drafting techniques for these terms which you can use to suit your need and tweak the interpretation. Indian Case Laws

Free Online Course on Interpretation of Contracts

In this course, learn how terms of a contract is interpreted by various Courts and arbitrators in India and how a smart lawyer should be drafting them so as to avoid any protracted litigation and disputes.

The course is intended for law students and budding lawyers desirous of honing their contract drafting skills and brushing up their understanding of crucial terms of a contract and their interpretation.

About the Course

The idea of drafting an agreement with a given template or term sheet and turning it into the execution copy, is not as easy as it seems. There are several ingredients which goes into the raw term sheet or template before the final recipe is ready to be served to the client. Some of the most important ingredients which you would be needing here are, your knowledge and understanding of the subject, experience, foresight of an eagle and above all, how a Court or an Arbitrator is going to interpret those terms, in case the contract ends up in the Court room desk of a Judge or an Arbitrator. To avoid any protracted litigation and consequent loss of one’s reputation, a smart lawyer would never draft a contract with loose ends, i.e. a contract which may be subject to several interpretations, in particular the one which may prejudice the interest of his/her client.

This course explores the rules for interpretation of contracts which the Courts and Arbitration Tribunals in India and common law countries often use to read and interpret the terms of a contract. The Course intends to help you develop an understanding of the interpretative value of different terms of a contract, so that you can use them as backdrop while you are drafting an agreement. This can help you sharpen your drafting skills and avoid any messy situation leading to loss of your reputation as a lawyer. The Course is based on leading judgments of Supreme Court and various High Courts as well as well established

Breaking Stereotype

MISSION STATEMENT

It’s the twenty first century and we are living in a world which is modernizing every day. Infact it is more like a global village nowadays when no distance seems too far when it comes to connecting to people living in different corners of the globe. And India especially has witnessed a lot of change lately in the way people think and behave. People are now aware of their rights and conscious of their duties, maybe not completely but at least much more than earlier. The aftermath of December 16 mishap was quite a proof of the fact that the masses and especially the youth is not ready to settle with anything less than equality and justice. But in this hue and cry for demanding rights and privileges from the government, courts and the police workforce, let us take a minute to listen to the voices within. Isn’t it highly paradoxical that on one hand we are demanding egalitarianism while on the other hand are indulging in petty acts of discrimination based on very sensitive issues as in a person’s skin color, gender etc. Judging people and treating them unfairly by attaching stereotypical limitations to their identity is something that most of us consciously or unconsciously do. Its not a baseless allegation. A minute of self-interrogation will be all it will take to prove the truth of the fact.

Discrimination against women is a well-known reality of the society. No matter the progress and development, still it happens that the women are denied even the most basic of all rights. Right from the moment a girl is conceived by her mother, efforts are made to slay the innocent life. Female foeticide and infanticide are still a reality in many parts of the country, as horrifying it may seem. If the girl escapes these blows somehow, greater evils are committed against her life and happiness. As she grows a bit older and attains the age of nine or ten, meant to attend school, she is married off to a person who may be a lot older to her and sent away from her home. The social evil of child marriage gives birth to another horrible crime. The little girl child is sexually abused by the people who are supposed to be her guardians. This sexual abuse in the childhood leaves scars on her body as well as her mind that are too difficult to heal. If somehow, she even escapes the trap of marriage, in many cases she is sold off by her family for a meagre sum of money. Treated nothing more than an object to be used and thrown away, she gets trapped in the clutches of cruel traffickers who dump her in the hellish world of forced labor and prostitution. In better circumstances, if she grows up in her family without being married or sold off, it is rare to escape the discrimination prevalent at her home, between her and the male children of the family. Still somehow, she struggles and manages to study, she has to step out of the house to earn a place for herself. At this juncture it can be imagined well that when the walls and boundaries of her home did not comfort her, how dangerous the outer world can be. She steps out to walk across the street and becomes a victim of eve- teasing and molestation. Moving further down the road the risks of violence increase too. Savage men with inflated egos and patriarchal mindsets find it difficult to swallow down their throats her success and achievements. They trample her body and violate her in unimaginable ways. And sometimes, these acts of brutality (Rape and sexual harassment) are just an outgrowth of lecherous minds who mistreat her merely to satiate their lust. If it so happens that she escapes such ordeals too and is even married at a proper age, it does not mean that the challenges are over. The house where she goes to live after marriage becomes her grave when the people she devotes herself to, don’t hesitate even once before burning her alive or inflicting brutal tortures on her for money (dowry death). If she, by some chance or due to some reason does not become a victim of dowry offences it is not guaranteed that she will escape the agony of domestic violence. This being the face of our society and we still expect the women to stay quiet for the false pride of their family members. Why is it that we blame the girl and overlook the faults of the guilty? Is it because we can’t think beyond the stereotype that we have assigned to the ladies. The stereotype that women are meek and docile and no matter what the situation they must obey their husbands, their family. The belief that women are nothing but a burden on the family is both the cause and consequence of the social evil of dowry. And its repulsive to even think that girls who wear western clothes and go to pubs with their male friends are easy or unchaste. But it doesn’t end here. Discrimination on the basis of skin color too is quite a disease plaguing the society.

And the majority of victims here too are the girls. It is deeply tragic that the fairer sex is expected to be fair in the literal sense too. Maybe its nothing but hypocrisy that people who are ready to participate in candle light marches to demand justice for a girl killed in a brutal assault don’t even rethink when they reject a girl for marriage just because she has a dusky complexion. Now among all this, it is also true that the scene is changing. We have surely come a long way down the road to progress and empowerment but still there is further to go. Time has changed and changed a lot. Victims are refusing to stay as victims and are coming out of their shells to speak up about the injustice meted out to them. But till the evils like child labor, racial and gender discrimination, dowry deaths, slavery, bonded labor etc. are the faces of reality, it is evident that the race is yet not over. But what needs to be understood is that the burden of creation of an egalitarian society, rests not only on the shoulders of law makers or law enforcers but also on the masses. What needs to be done is that the orthodox beliefs, like women are inferior to men or women need to be subdued by men etc. must be renounced at all costs. Sensitization of the masses is the basic step towards the fulfillment of this goal and work in this regard has to begin from the confines of each and every house of the country. Everybody needs to do their bit, no matter how insignificant the change may seem. And keeping in mind the clichéd saying that little drops of water make the mighty ocean, let us contribute in our own ways. And breaking stereotypes can be a great beginning. So let us start by changing our thoughts and beliefs which will change actions and that ultimately will lead to a brighter future.

The Asian Journal of International Law (AsianJIL) publishes peer-reviewed scholarly articles and book reviews on public and private international law. The regional focus of the Journal is broadly conceived. Some articles may focus specifically on Asian issues; others will bring one of the many Asian perspectives to bear on issues of global concern. Still others will be of more general interest to scholars, practitioners, and policymakers located in or working on Asia.
