The idea of drafting a contract with a general template may sound very easy to any fresh law graduate or even a lay man. It actually is, as long as there is hardly any application of mind and it is done in a mechanical manner. There are several invisible ingredients which go into the raw term sheet or a basic template before the final recipe is ready to be served to the client. Some of the obvious ingredients are, your knowledge and understanding of the subject and business practices prevalent in a particular industry,  experience, and foresight as to how the Court may interpret the same.

As a legal professional the first thing you are expected to do is apply your mind, and that is what makes you a true lawyer. A mechanical copy-paste job will always lend you in trouble. Therefore, when you draft an agreement, it is very important to be aware of how a judge would interpret it, if ever, a dispute arises and the agreement hits the court of law. Furthermore, a standard clause couched under the broader head of ‘Miscellaneous’ towards the end of the contract, may not always be standard. There may be deceptive divergent of the standard clauses which can easily skip your attention. Therefore, to avoid any kind of dispute, a smart lawyer would always draft a contract without any loose ends, i.e. a contract which may be subject to several interpretations, in particular the one which may prejudice the interest of his/her client.

The present course aims to give you a very comprehensive understanding of standard clauses in a contract and their interpretation. In addition, it also offers you several drafting techniques for these terms which you can use to suit your need and tweak the interpretation. The course also covers key principles of interpretation of contracts. Above all, the entire course is based on judgments rendered by various courts in Indian and practical learning experiences of legal professionals currently working at some of the reputed law firms in India.

A seven-day winter course to be organised between January 29th to February 4th by the Centre for Regulatory Studies, Governance and Public Policy at the West Bengal National University of Juridicial Sciences, Kolkata.

About the course

This Seminar Course will be of approximately 20 hours duration and will include classroom teaching, interactive exercises, library work, etc. A learning guide/material will be provided to the participants at the beginning of the Course. Performance in the course will be evaluated through regular objective tests of a total of 30 Marks and a Course-end examination (comprising objective and subjective questions) of a total of 70 Marks.

The Course-end examination may be scheduled on 4th February, 2018, which is the last day of the Winter Course. The evaluation may also include a project work circumscribing the main topic. Conduct of the Course 

All the students enrolled shall be issued a personal user online ID and password to access that ID. It is only through this ID that the institute will be interacting with the candidates. After creating IDs each student shall be supplied study material and be given assignments from time to time during the course of three months. The course will be conducted only online and no hard copy of either the study material or assignment shall be sent to the candidates or accepted from the candidates.

 

Evaluation 

The candidates shall be evaluated for maximum of 200 marks for which assignments shall be sent from time to time. There will be three assignments of 25 marks each, which will be sent during the course, whereas the final assignment of 125 marks shall be sent at the end of the course.  The candidate needs to score at least 50% i.e. 100 marks to clear the course. The candidates obtaining less than 100 marks shall not be given the certificate but will have the option to reappear with the next batch. For which (s)he needs to deposit Rs. 500/- as readmission fee. Only one chance will be given to reappear with the next batch. If he fails to take readmission in the next batch or fails to clear the exam with next batch, (s)he shall not be able to take the exam again and will have to take afresh admission.

About this course
The study of the EU as an international actor has become a key element in European and International Law, European Studies and International Relations. The EU represents the world’s largest trade power and aid donor, has a diplomatic service larger than that of most states, and has launched more than 20 civil-military operations. It has presented itself as a normative, global actor, and its emergence as a legal entity that is neither a state nor a classic international organization has both puzzled and fascinated legal scholars and political scientists alike. We invite students to delve into and help solve the most intriguing of these puzzles.

Who we are
We represent a consortium consisting of the Global Governance Programme of the European University Institute in Florence, the Leuven Centre for Global Governance Studies and the Chair for European and International Economic Law at the University of Passau. We have come together guided by the vision of providing cutting-edge expertise on the many facets of this fast-evolving field to the greatest number of students.

Course Structure
The course breaks down the EU’s role in Global Governance into 5 key challenge areas and a “boot camp”-introductory session. The main concepts and issues touched upon in each session will be explained by leading academic authorities and practitioners. The themes combine cultural, legal and political science questions, making this course a truly interdisciplinary experience:

Introduction: The EU in the New World Order (“law & IR boot camp”)
Sustainable Development (includes climate change & development policy)
International Security
The EU’s Neighbourhood (includes migration & enlargement)
Human Rights and the Global Rule of Law
EU Trade Policy and the Global Economic System
Course Concept
Each topic will be introduced by our experts in concise concept lectures using visual aids (e.g. maps, tables, graphs, mindmaps/Euler diagrams), providing the students with an overview of the topic, outline the main points of view and controversies, and highlight its practical relevance. The visual aids help to make complex issues accessible, such as the institutional setup of EU foreign policy, the geographical delimitation of its spheres of external action, or the main legal principles of EU external action. Concept videos and expert interview serve as the rallying point for each session and as a thread running through the course, and will be combined with readings, online discussion and quizzes, as well as position papers. While our team of senior experts will be on standby to answer questions, discussions and evaluations will be P2P, under the guidance of a team of specialist grad students at our institutions.

Learning objectives
This course will equip students with answers to the following questions:

What are the main challenges the EU and its Member States is facing in the world today, and how do they affect us personally?
What means does the EU have at its disposal to tackle these challenges, and how do we evaluate its performance?
How does the EU fit into the main theoretical approaches to International Relations?
What are the key legal principles and political realities governing EU external relations, its relationship with its Member States and citizens, and the outside world?
How do Globalization and Europeanization affect our identity as citizens?
Prior knowledge
Basic knowledge in one or more of the following subjects is highly desirable:
– The EU and its institutions/EU politics;
– EU/International law; or
– International relations/politics.

The course will run for six weeks, with one week for each chapter. Students who successfully complete the MOOC will receive an official course certificate.
